The Certificate of Incorporation is the official document issued by the Registrar of Companies (ROC) confirming that a company or LLP has been legally registered under the Companies Act 2013. It is the birth certificate of your company.

About the Certificate of Incorporation

The COI is issued electronically by the MCA upon successful processing of the SPICe+ (or FiLLiP for LLP) application. It contains the Company Identification Number (CIN), the date of incorporation, the registered name, and the registered office state. The COI is the definitive proof of the company's legal existence.

Along with the COI, the MCA simultaneously issues the company's PAN (e-PAN) and TAN (e-TAN), and sends confirmation of EPFO and ESIC registration. You do not need to apply for these separately.

What the COI contains

  • Company Identification Number (CIN) — a unique 21-character identifier
  • Date of incorporation
  • Registered name of the company
  • State of incorporation
  • Type of company (Private Limited, OPC, etc.)
  • Registrar's digital signature and MCA seal

What comes with the COI

  1. 1e-PAN — company's Permanent Account Number
  2. 2e-TAN — Tax Deduction Account Number
  3. 3EPFO registration confirmation
  4. 4ESIC registration confirmation
  5. 5GSTIN (if applied for via AGILE-PRO-S)
