Important — Please Read Before Using Corpe

These Terms and Conditions constitute a legally binding agreement between you (the User or Client) and CORPE BUSINESS SOLUTION PRIVATE LIMITED (Corpe, we, us, our), the company operating the Corpe platform at corpe.io. By accessing or using the Corpe platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not use the platform.

1. Definitions

For the purposes of these Terms, the following definitions apply:

"Platform"The website, web application, and all associated services available at corpe.io and any subdomains thereof.
"Services"The company formation, incorporation assistance, document preparation, filing facilitation, and related professional services offered by Corpe through the Platform.
"User" / "Client"Any individual or entity that accesses, registers on, or uses the Platform or Services in any capacity.
"Account"The registered profile created by a User on the Platform to access and use the Services.
"Engagement"A specific company formation order or service request initiated by a User on the Platform.
"Content"Any information, text, documents, data, or materials uploaded, submitted, or generated through the Platform.
"Government Portal"MCA21, ROC systems, Income Tax portals, and any other government-operated digital systems to which Corpe submits filings on the Client's behalf.
"Third-Party Services"External services integrated with the Platform including payment gateways, cloud infrastructure, communication tools, and analytics providers.
"Signing Fee"The initial non-refundable fee collected at the commencement of an Engagement, as described in the Refund Policy.

2. Acceptance of Terms

By accessing the Platform, registering an Account, making any payment, or using any Service, you represent and warrant that:

  • You are at least 18 years of age or the age of majority in your jurisdiction, whichever is higher;
  • You have the legal capacity and authority to enter into these Terms on your own behalf or on behalf of the entity you represent;
  • Where you are acting on behalf of a company, firm, or other legal entity, you are duly authorised to bind that entity to these Terms;
  • All information you provide to Corpe is accurate, current, and complete; and
  • You will comply with all applicable laws and regulations in connection with your use of the Platform and Services.

These Terms apply to all users of the Platform, including visitors, registered users, and paying clients. Continued use of the Platform after any update to these Terms constitutes acceptance of the revised Terms.

3. Description of Services

3.1 What Corpe Provides

Corpe is a SaaS-based company formation platform that assists individuals and businesses with the process of incorporating companies in India. The Services include, but are not limited to:

  • Company name availability search and reservation assistance
  • Digital Signature Certificate (DSC) procurement support
  • Director Identification Number (DIN) application assistance
  • Drafting of Memorandum of Association (MOA) and Articles of Association (AOA)
  • Preparation and filing of incorporation forms including SPICe+ with the Ministry of Corporate Affairs (MCA)
  • PAN and TAN application facilitation
  • Certificate of Incorporation (COI) delivery support
  • Bank account opening guidance
  • Optional add-on services including GST registration, MSME registration, trademark assistance, accounting, and annual ROC compliance

3.2 Nature of Services — Important Limitations

⚠ Important Notice

Corpe is a technology and facilitation platform. It is not a law firm, chartered accountancy firm, or regulated legal services provider.

The Services constitute professional assistance and document preparation support only. Nothing on the Platform constitutes legal advice, tax advice, or financial advice. Clients requiring such advice should consult a qualified professional independently.

Corpe facilitates the submission of documents and information to government portals on behalf of the Client. However, the acceptance, processing, approval, or rejection of any application is solely within the discretion of the relevant government authority. Corpe makes no representation or warranty regarding the outcome of any government filing.

3.3 Service Availability

Corpe endeavours to maintain the Platform's availability at all times but does not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond Corpe's reasonable control. Corpe shall not be liable for any loss or inconvenience arising from temporary unavailability.

4. User Accounts & Registration

4.1 Account Creation

To access the Services, you must register an Account by providing accurate and complete information. You agree to:

  • Provide true, accurate, current, and complete information during registration and at all times thereafter;
  • Promptly update your Account information if it changes;
  • Maintain the confidentiality of your Account credentials; and
  • Accept responsibility for all activity that occurs under your Account.

4.2 Account Security

You are solely responsible for maintaining the security of your Account login credentials. You must notify Corpe immediately at info@corpe.io if you become aware of any unauthorised access to or use of your Account. Corpe shall not be liable for any loss or damage arising from your failure to comply with this obligation.

4.3 Account Suspension & Termination

Corpe reserves the right to suspend or terminate your Account at its discretion if:

  • You breach any provision of these Terms;
  • You provide false, inaccurate, or misleading information;
  • Your Account is used for fraudulent or unlawful purposes;
  • You engage in conduct that is harmful to Corpe, other users, or third parties; or
  • Required by applicable law or a competent government authority.

Upon termination, your right to use the Platform ceases immediately. Fees paid for Services already initiated are non-refundable as described in the Refund Policy.

5. Fees, Payments & Billing

5.1 Fee Structure

The Services are offered on a stage-based payment model. Fees applicable to your selected plan are displayed on the Platform at the time of purchase. All professional service fees are exclusive of applicable taxes (GST) unless explicitly stated otherwise. The Signing Fee is the only charge to which GST does not apply.

5.2 Payment Processing

Payments are processed through third-party payment gateways integrated with the Platform. By making a payment, you authorise Corpe and its payment service providers to charge the applicable fees to your chosen payment method. Corpe does not store your card or banking credentials directly — these are handled by the payment gateway provider in accordance with their own security standards and terms.

5.3 GST & Taxes

Goods and Services Tax (GST) at the applicable rate is levied on professional service fees in accordance with the Goods and Services Tax Act. The Signing Fee is not subject to GST. Receipts issued by Corpe will reflect applicable GST separately where charged. You are responsible for any other taxes applicable to you under applicable law.

5.4 Refunds

All payments made on the Platform are governed by Corpe's Refund Policy, which is incorporated into these Terms by reference. By making any payment, you confirm that you have read and accepted the Refund Policy. In summary:

  • The Signing Fee is strictly non-refundable under all circumstances;
  • Stage-based professional fees become non-refundable once the corresponding stage is triggered;
  • Government fees paid on your behalf are non-refundable in all circumstances; and
  • Any discretionary refund, if considered, is solely at the management's discretion and does not constitute a right.

5.5 Failed Payments

If a payment fails, Corpe will notify you and request an alternative payment method. Corpe is not obligated to continue providing Services until outstanding fees are settled. Corpe is not liable for delays caused by failed or incomplete payments.

6. Client Obligations & Responsibilities

You agree and undertake to:

  • Provide accurate, complete, and current information and documents as requested by Corpe during the course of your Engagement;
  • Respond promptly to requests for additional information or document clarification — delays caused by non-responsiveness are not attributable to Corpe;
  • Ensure that all documents submitted (including KYC documents, identity proofs, address proofs) are genuine, valid, and legally obtained;
  • Not provide forged, altered, or fraudulent documents under any circumstances;
  • Review and approve MOA/AOA drafts and other documents carefully before granting approval — Corpe is not liable for errors arising from approved drafts;
  • Ensure that all proposed company names comply with MCA naming guidelines — Corpe does not guarantee approval of any proposed name;
  • Comply with all applicable laws and regulations including the Companies Act, 2013, the Foreign Exchange Management Act (FEMA), and any sector-specific regulations;
  • Not use the Platform or Services for any illegal, fraudulent, or unauthorised purpose; and
  • Immediately inform Corpe of any change in circumstances that may affect the Engagement, including changes in shareholding, directorship, or registered address.

7. Intellectual Property

7.1 Corpe's IP

The Platform and all its contents — including but not limited to software, code, design, text, graphics, logos, workflows, and methodologies — are the exclusive intellectual property of CORPE BUSINESS SOLUTIONS PRIVATE LIMITED and are protected under applicable Indian intellectual property laws including the Copyright Act, 1957 and the Trade Marks Act, 1999. Nothing in these Terms grants you any ownership of or licence to Corpe's intellectual property beyond the limited right to use the Platform for its intended purpose.

7.2 Client Content

You retain ownership of all documents and information you submit to the Platform. By submitting Content, you grant Corpe a limited, non-exclusive, royalty-free licence to use, store, process, and transmit your Content solely for the purpose of providing the Services to you. Corpe will not use your Content for any other purpose without your consent.

7.3 Prohibited Use

You must not copy, reproduce, modify, reverse-engineer, disassemble, distribute, or create derivative works from any part of the Platform without prior written consent from Corpe. Unauthorised use of Corpe's intellectual property may result in civil and criminal liability under applicable law.

8. Third-Party Services & Integrations

The Platform integrates with certain third-party service providers to deliver its Services. These include:

Corpe is not responsible for the availability, reliability, or practices of any third-party service. Your use of third-party services may be subject to their own terms and privacy policies. Corpe will exercise reasonable care in selecting reputable third-party providers.

9. Government Filings — Disclaimer of Outcome

ℹ Government Filing Notice

Corpe acts as a facilitator and prepares and submits documents on the Client's behalf. The outcome of any government filing — including name approval, incorporation approval, PAN/TAN issuance, or any other regulatory approval — is determined solely by the relevant government authority.


Corpe does not guarantee, represent, or warrant that:

  • Any proposed company name will be approved by the MCA;
  • Any application will be processed within any specific timeframe;
  • Any incorporation or registration will be approved; or
  • Any government portal will be available or functional at any given time.

Rejection of any application by a government authority due to client-provided information, name conflicts, document deficiencies, or any other reason does not entitle the Client to a refund and shall not constitute a breach by Corpe of its obligations under these Terms.

10. Limitation of Liability

10.1 No Consequential Liability

To the maximum extent permitted by applicable law, Corpe, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption — arising out of or in connection with your use of the Platform or Services, even if advised of the possibility of such damages.

10.2 Cap on Liability

Corpe's total aggregate liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to Corpe in the three (3) months immediately preceding the event giving rise to the claim.

10.3 Exclusions

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Indian law.

10.4 Force Majeure

Corpe shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, government actions, MCA/ROC system outages, internet disruptions, natural disasters, pandemics, or civil unrest.

11. Indemnification

You agree to indemnify, defend, and hold harmless CORPE BUSINESS SOLUTIONS PRIVATE LIMITED and its directors, officers, employees, consultants, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of any provision of these Terms;
  • Your violation of any applicable law or regulation;
  • The submission of fraudulent, forged, inaccurate, or incomplete documents or information;
  • Any third-party claim arising from your actions in connection with the Services; or
  • Your infringement of any intellectual property or other rights of any person or entity.

12. Prohibited Conduct

You agree not to use the Platform or Services to:

  • Incorporate a company for any illegal, fraudulent, or money-laundering purpose;
  • Submit false declarations, forged documents, or misrepresent identity;
  • Circumvent or attempt to circumvent any security feature of the Platform;
  • Access or attempt to access another user's Account without authorisation;
  • Introduce viruses, malware, or any other harmful code to the Platform;
  • Scrape, harvest, or extract data from the Platform by automated means without authorisation;
  • Resell or sub-license Corpe's Services without express written consent; or
  • Engage in any conduct that is likely to bring Corpe into disrepute or cause harm to other users.
⚠ Breach Consequences

Breach of this clause may result in immediate termination of your Account, reporting to relevant law enforcement authorities, and civil or criminal legal action.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms and all matters arising from or related to them shall be governed by and construed in accordance with the laws of the Republic of India, including without limitation:

  • The Information Technology Act, 2000 and the rules made thereunder;
  • The Companies Act, 2013;
  • The Consumer Protection Act, 2019; and
  • The Digital Personal Data Protection Act, 2023.

13.2 Dispute Resolution — Negotiation First

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiation by contacting Corpe at info@corpe.io. Corpe will endeavour to respond and engage within 15 working days of receiving written notice of a dispute.

13.3 Jurisdiction

If a dispute cannot be resolved through negotiation, both parties submit to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India. You waive any objection to proceedings in these courts on the grounds of inconvenient forum or any similar grounds.

14. Modifications to These Terms

Corpe reserves the right to modify, update, or replace these Terms at any time. Where changes are material, Corpe will provide reasonable notice by:

  • Displaying a prominent notice on the Platform; and/or
  • Sending an email notification to the address associated with your Account.

Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Refund Policy and Privacy Policy published on the Platform, constitute the entire agreement between you and Corpe with respect to your use of the Platform and the Services, and supersede all prior agreements, representations, or understandings.

15.2 Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from the remainder of the Terms, which shall continue in full force and effect.

15.3 No Waiver

Corpe's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without Corpe's prior written consent. Corpe may freely assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

15.5 Notices

All legal notices to Corpe must be sent in writing to info@corpe.io. Corpe may communicate with you via the email address or mobile number registered to your Account.

15.6 Language

These Terms are drafted in the English language. In the event of any conflict between an English version and any translated version, the English version shall prevail.
