About the Certificate of Incorporation

The COI is issued electronically by the MCA upon successful processing of the SPICe+ (or FiLLiP for LLP) application. It contains the Company Identification Number (CIN), the date of incorporation, the registered name, and the registered office state. The COI is the definitive proof of the company's legal existence.

Along with the COI, the MCA simultaneously issues the company's PAN (e-PAN) and TAN (e-TAN), and sends confirmation of EPFO and ESIC registration. You do not need to apply for these separately.

What the COI contains

  • Company Identification Number (CIN) — a unique 21-character identifier
  • Date of incorporation
  • Registered name of the company
  • State of incorporation
  • Type of company (Private Limited, OPC, etc.)
  • Registrar's digital signature and MCA seal

  • e-PAN — company's Permanent Account Number
  • e-TAN — Tax Deduction Account Number

Frequently asked questions

The COI is sent to the registered email ID of the company automatically by the MCA once the SPICe+ application is approved. It is an electronically generated and digitally signed PDF.
No. The e-COI (electronic COI) issued by MCA is fully valid and legally equivalent to a physical certificate. No separate physical certificate needs to be obtained.
The COI itself is not amended. However, if the company name or registered state changes, a fresh COI is issued after the change is registered with MCA.
