About DIR-2

Under Section 152(5) of the Companies Act 2013, no person can be appointed as a director unless they have given their consent in writing. Form DIR-2 captures this consent along with the proposed director's personal details and confirmation that they are not disqualified.

The signed DIR-2 is filed as an attachment to the SPICe+ Part B application. It is a physical form signed by the proposed director and uploaded as a scanned PDF.

  • Full name, father's name, and date of birth
  • Present and permanent residential address
  • PAN and DIN (or DPIN)
  • Nationality and occupation
  • Declaration that the person is not disqualified under the Companies Act 2013

Frequently asked questions

No. DIR-2 is a consent form — it confirms willingness to be a director. DIN (Director Identification Number) is a separate unique ID allotted by MCA. Both are required.
No notarisation is required. A signed DIR-2 on plain paper uploaded as a clear scanned PDF is sufficient for MCA filing.
DIR-2 is company-specific. A new DIR-2 must be signed for each company in which the person is proposed as a director.
