About INC-9

INC-9 is a statutory declaration required under Section 7(1)(b) of the Companies Act 2013. Each subscriber to the Memorandum and each first director must sign this declaration before or during the company's incorporation filing.

Auto-generation: In most cases, INC-9 is auto-generated as a PDF by the MCA portal and submitted digitally — no physical affidavit is needed. The exception: if the total number of subscribers and/or directors exceeds 20, or any of them do not possess both a DIN and PAN, INC-9 must be filed manually.

Contents of INC-9

  • Name, address, and nationality of the subscriber/director
  • Declaration that they are not disqualified from acting as director under Section 164 of the Companies Act 2013
  • Declaration that all information in the SPICe+ form and attached documents is true and correct
  • Date and signature of each subscriber and director
